SaaS and Tech Contracts. Draft, negotiate, secure
A poorly drafted or poorly negotiated contract can expose your business on liability, data, intellectual property, and exit or reversibility issues. I advise tech companies on structuring and securing their commercial contracts across Europe and internationally.

• Fallback positions and red lines defined in advance to help close deals faster.
Review and audit
• Review of incoming contracts before signature, with risk identification and practical recommendations.

Pre-dispute support

Five key issues to watch in tech contracts
Liability
Caps, exclusions, indemnities. These points must be calibrated carefully, especially in SaaS agreements.
Personal data
Controller and processor obligations, and proper safeguards for transfers outside the EU.
Intellectual property
Who owns what, including developed code, training data, and improvements.
Exit and reversibility
Termination conditions, data portability, timeframes, and output formats. This is often overlooked at signature stage.
Governing law and jurisdiction
These choices are not neutral, especially in cross-border B2C contracts.
International experience, aligned with operational reality
Built on 15 years of in-house practice with ESA, the OECD, the ITER Organization, CMA CGM and ADP, my approach combines legal rigour with a clear understanding of business constraints. I know what it means to be on the client side, and I structure my support accordingly.

Frequently asked questions
My SaaS contracts are in English. Can you work on them?
Yes. PSL Avocat works in English, French, and Spanish. Most international tech contracts are drafted in English, and this is a working standard handled on a daily basis.
We use standard templates. Is that enough?
Standard templates cover general cases. They do not reflect your specific revenue model, core business, risk profile, target markets, or regulatory constraints. A focused review and targeted adaptation are usually advisable before using them in live negotiations or key commercial relationships.
Do you handle contracts with counterparties outside the EU?
Yes. My contract practice covers agreements involving US and Asian organisations, as well as international institutions. The choice of governing law, jurisdiction, or arbitration mechanism is part of the analysis.
